Stratavor Terms of Use

Effective date: November 2025

These Terms of Use (“Terms”) govern your access to and use of the Stratavor platform and related services (the “Service”) provided by Stratavor Limited, an Irish company (“Stratavor”, “we”, “our”, or “us”). By creating an account, connecting an integration, or otherwise using the Service, you agree to be bound by these Terms on your own behalf or on behalf of your organisation.

If you accept these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.


1. Definitions

  • Agreement: these Terms and any incorporated policies, addenda, order forms, or statements of work.

  • Customer, you, your: the organisation or individual accepting these Terms.

  • Invited user: any person you authorise to access your tenant or data.

  • Service / software: Stratavor’s web applications, APIs, integrations, reporting engines, and related documentation.

  • Customer data / data: any data you or your invited users connect, upload, import, or otherwise provide to the Service, including data retrieved from third-party systems (e.g., Xero, QuickBooks, HubSpot).

  • Confidential information: non-public information disclosed by one party to the other that is designated confidential or would reasonably be understood as confidential.

  • Intellectual property rights: all intellectual property rights worldwide, registered or unregistered.

  • Subscription: your paid plan (monthly/annual) as specified during ordering or in an order form.


2. Scope and changes

2.1 Scope. These Terms apply to all use of Stratavor’s Service, including beta features, AI-assisted features, and integrations.
2.2 Updates. We may update these Terms or the Service from time to time. Material changes will be notified by email or in-product notice. Your continued use after the effective date constitutes acceptance of the updated Terms.


3. Accounts, invited users, and access

3.1 Tenant ownership. The subscriber is the controller of access within its tenant. You determine who is an invited user, what they can access, and you remain responsible for their activity. You can revoke or change access at any time.
3.2 Credentials. You must keep login credentials confidential and notify us promptly of suspected compromise.
3.3 Acceptable use. You agree not to: (a) copy or create derivative works of the Service; (b) reverse-engineer or decompile; (c) resell, sublicense, or time-share; (d) use the Service unlawfully or to infringe third-party rights; or (e) interfere with system integrity or security.
3.4 Fair use and limits. We may apply reasonable technical limits (for example, API throughput, storage, report generation cadence) and will communicate such limits when material.


4. Subscriptions, billing, and taxes

4.1 Fees. Fees are billed in advance per your plan; subscriptions auto-renew at the end of each billing cycle unless cancelled in accordance with these Terms.
4.2 Invoices and payment. Invoices are due upon receipt unless otherwise stated. You are responsible for all applicable taxes (excluding Stratavor’s income tax).
4.3 Price changes. We may adjust pricing with prior notice; continued use after a price change constitutes acceptance.
4.4 Discounts. Preferential pricing (if any) depends on your compliance and timely payment; we may withdraw discounts if invoices remain unpaid.


5. Third-party integrations and customer data

5.1 Authorised access. When you connect third-party systems such as Xero, QuickBooks, or HubSpot, you authorise Stratavor to access and process data solely to provide the Service (for example, reporting, analytics, PDF exports).
5.2 Ownership. You retain all rights in customer data. You grant Stratavor a limited, non-exclusive licence to use, reproduce, process, and store customer data only to deliver and improve the Service and to comply with law.
5.3 Third-party terms. Your use of third-party services is subject to their terms and privacy policies; Stratavor is not responsible for third-party products.
5.4 Backups. While we operate resilient infrastructure, you are responsible for maintaining your own backups or exports of critical customer data.


6. AI-assisted features

6.1 Nature of outputs. AI-generated narratives, summaries, and recommendations are algorithmic and provided for informational purposes only. They do not constitute financial, legal, tax, or investment advice.
6.2 Your responsibility. You must review and verify AI outputs for accuracy and suitability; you bear any risk of reliance.
6.3 Data handling. We do not use your customer data to train third-party foundation models. Processing is limited to generating your requested outputs, subject to our Privacy Policy and DPA.


7. Security, privacy, and data protection

7.1 Security. We implement technical and organisational measures appropriate to the risk (including access controls, encryption in transit and at rest where applicable, and environment segregation). No system is 100% secure; you use the Service at your own risk.
7.2 Privacy Policy. Our Privacy Policy explains what we collect and why, including cookies/analytics and international transfers.
7.3 Data Processing Agreement (DPA). Where we process personal data on your behalf, our DPA applies; both parties will comply with the EU GDPR and other applicable data-protection laws.
7.4 Confidentiality. Each party will treat the other’s confidential information as confidential, use it only to perform this Agreement, and protect it with reasonable care. Exceptions apply where information is public, already known lawfully, independently developed, or required to be disclosed by law.


8. Service availability and support

8.1 Availability. We aim for high availability but may perform maintenance or updates; we will endeavour to provide notice for planned downtime or unusual disruption.
8.2 Support. For technical issues, review documentation first; if unresolved, contact support@stratavor.com.


9. Intellectual property

9.1 Stratavor IP. Stratavor and its licensors own all intellectual property rights in and to the Service, software, templates, report engines, documentation, and visual designs. No rights are granted except as expressly stated.
9.2 Customer data. You own customer data and warrant you have the necessary rights to supply such data and to authorise Stratavor’s processing as described.
9.3 Feedback. If you provide ideas or suggestions, Stratavor may use them without obligation.


10. Warranties and disclaimers

10.1 No professional advice. The Service and any AI outputs are not professional advice. Seek qualified advice where needed.
10.2 “As is”. The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for purpose, title, or non-infringement.
10.3 No guarantee. We do not guarantee uninterrupted, error-free operation, or that the Service meets every business requirement.


11. Indemnity

You agree to indemnify Stratavor for claims, losses, liabilities, costs, and damages arising from: (a) your breach of these Terms; (b) your misuse of the Service; or (c) your infringement of third-party rights.


12. Term, suspension, and termination

12.1 Term. These Terms remain in effect while you maintain an account or use the Service.
12.2 Convenience. Either party may terminate for convenience with thirty (30) days’ written notice (effective at the end of the current billing period).
12.3 Breach. We may suspend or terminate access immediately if: (a) you materially breach these Terms and fail to cure within 14 days of notice; (b) your use risks security or legal exposure; or (c) non-payment persists.
12.4 Effect. Upon termination, access ceases; we will delete or return customer data per the DPA and our retention policy. Accrued rights and payment obligations survive.


13. Limitation of liability

13.1 Cap. To the maximum extent permitted by law, Stratavor’s total aggregate liability for all claims arising under or related to these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
13.2 Exclusions. Stratavor is not liable for indirect, special, incidental, punitive, or consequential damages (including loss of profits, revenue, data, or goodwill), even if advised of the possibility.
13.3 Non-excludable liability. Nothing in these Terms excludes liability that cannot by law be limited or excluded.


14. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland, and the parties submit to the exclusive jurisdiction of the Irish courts.

United States customers (optional addendum): where required, Stratavor may offer a separate U.S. dispute-resolution addendum providing for individual binding arbitration and a class action waiver. If applicable to your organisation, this addendum will be provided and incorporated by reference.


15. Beta features and report templates

15.1 Beta or preview. Features marked “beta” or “preview” are provided for evaluation only, may change or be withdrawn, and are offered without support or warranty.
15.2 Templates and exports. Generated report templates (for example, “Board Snapshot”) may include watermarking or usage limits under trial plans; exports are licensed for your internal business use only.


16. Notices, assignment, and severability

16.1 Notices. Notices must be sent by email: support@stratavor.com (Stratavor) and to your registered account email (Customer). Notices are deemed delivered upon transmission.
16.2 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign to an affiliate or acquirer.
16.3 Severability and waiver. If any provision is unenforceable, it will be reformed to achieve its intent; the rest remains in effect. A failure to enforce is not a waiver.


17. Entire agreement

These Terms, together with any order forms and incorporated policies (such as the Privacy Policy and DPA), constitute the entire agreement between you and Stratavor with respect to the Service and supersede all prior agreements or understandings on the subject.
